QWYK iSoft Terms of Service

These Terms of Service ("Terms") govern your use of websites, apps, platforms, APIs, software, accounts, subscriptions, and other services provided by IWYNO FINWORKS LLC dba QWYK iSoft ("QWYK iSoft," "QWYK," "we," "us," or "our").

QWYK iSoft offers multiple products, including QWYKID, Snapcard, Pathways, trustSYSTEM, EZ Pay Tekk, and other services. Some products have their own additional terms, privacy policies, acceptable use policies, developer terms, order forms, or plan terms. If product-specific terms conflict with these Terms, the product-specific terms control for that product.

By using our services, creating an account, subscribing to a plan, accessing an API, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use our services.

1. Our Services

QWYK iSoft builds software products for identity, trust, relationship management, guidance marketplaces, business workflows, developer integrations, and related digital experiences.

Our services may include authentication, user profiles, business profiles, contact management, messaging, payments, subscriptions, marketplace tools, reviews, analytics, AI-assisted features, mobile apps, APIs, integrations, dashboards, and support tools.

We may add, change, suspend, limit, or discontinue features at any time for product, security, legal, operational, commercial, or reliability reasons.

2. Accounts and Security

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials, devices, QWYKID account, authentication factors, API keys, recovery methods, and authorized users.

Tell us promptly if you believe your account, device, authentication method, payment method, API key, or integration has been compromised.

We may suspend, restrict, or require additional verification when we believe an account, transaction, integration, or activity creates legal, security, fraud, operational, or user-safety risk.

3. Acceptable Use

You may use our services only for lawful purposes and in accordance with these Terms. You may not:

• Break the law or violate another person's rights.
• Harass, threaten, abuse, exploit, deceive, discriminate, impersonate, or defame anyone.
• Upload malware, scrape, spam, phish, credential-stuff, bypass controls, attack systems, or interfere with service availability or security.
• Misrepresent identity, authority, business ownership, credentials, affiliations, reviews, services, or outcomes.
• Use our services for surveillance, profiling, resale, advertising, data enrichment, or regulated decisions unless expressly allowed in writing and supported by required consent and compliance controls.
• Use the services in a way that creates excessive risk for QWYK iSoft, users, customers, service providers, or the public.

4. User Content and Data You Provide

You are responsible for content and data you upload, submit, import, scan, record, share, publish, or process through our services.

You keep ownership of your content, but you grant QWYK iSoft a non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, adapt, and use it as needed to provide, protect, support, market, and improve the services.

You must have the rights, permissions, notices, and consents needed for content and data you provide, including personal information, contact lists, business profiles, reviews, files, images, voice recordings, videos, and third-party data.

5. Third-Party Services

Our services may integrate with affiliated services such as EZ Pay Tekk and third-party services such as Google, Apple, payment processors, app stores, hosting providers, analytics providers, messaging providers, AI/OCR/transcription providers, maps/location providers, identity providers, and customer-selected integrations.

Third-party services are governed by their own terms and privacy policies. We are not responsible for their availability, security, content, pricing, payment processing, account decisions, moderation decisions, data practices, or failures.

6. AI-Assisted and Automated Features

Some services may include AI-assisted summaries, classifications, recommendations, risk signals, OCR, transcription, matching, alerts, or other automated outputs. These outputs may be incomplete, delayed, biased, or wrong.

You are responsible for reviewing outputs before relying on them. Unless we expressly agree in writing, our services must not be used as the sole basis for legal, medical, financial, credit, employment, housing, insurance, education admissions, emergency, or other high-risk decisions.

7. Payments, Plans, and Taxes

Some services require payment, subscriptions, usage-based fees, team plans, enterprise agreements, or app store purchases. Pricing, plan limits, billing periods, cancellation terms, refund rules, taxes, and payment-provider terms are shown in the applicable checkout, invoice, app store, order form, plan page, or product-specific terms. If a payment is routed through EZ Pay Tekk, the EZ Pay Tekk Terms of Service, Privacy Policy, Acceptable Use Policy, and Refund and Dispute Policy are incorporated by reference for that payment workflow.

Unless required by law or expressly stated in writing, payments are non-refundable. You are responsible for taxes, chargebacks, failed payments, and keeping billing information current.

8. Intellectual Property

The services, software, designs, trademarks, logos, documentation, APIs, workflows, and related materials are owned by QWYK iSoft or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the services according to these Terms.

You may not copy, resell, sublicense, reverse engineer, decompile, disassemble, modify, create derivative works from, or use our services to build a competing product unless we expressly allow it in writing.

Feedback you provide may be used by us without restriction or compensation.

9. Privacy

Our Privacy Policy explains how we collect, use, share, retain, and protect information. Product-specific privacy policies may also apply. By using our services, you agree that we may process information as described in the applicable privacy policy.

10. Service Availability and Data Loss

We aim to operate reliable services, but we do not guarantee uninterrupted availability, error-free operation, compatibility, data availability, or that every issue will be fixed. You should keep independent copies of important records, contacts, files, credentials, business information, and other data.

11. Suspension and Termination

You may stop using our services at any time. We may suspend, restrict, or terminate access if you violate these Terms, fail to pay, create risk, misuse a service, breach product-specific terms, or if continued service is not practical or lawful.

After termination, your right to use the services ends. Some provisions survive termination, including ownership, licenses, payment obligations, confidentiality, disclaimers, liability limits, indemnity, dispute terms, and any provisions that by nature should survive.

12. Disclaimers

The services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted service, and data availability.

We do not guarantee business outcomes, revenue, admissions outcomes, relationship outcomes, reputation outcomes, security outcomes, review outcomes, AI output accuracy, or third-party service performance.

13. Limitation of Liability

To the fullest extent permitted by law, QWYK iSoft is not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, reputation, opportunities, revenue, business, users, contacts, or use.

Our total liability for any claim related to the services will not exceed the amount you paid us for the specific service giving rise to the claim in the 12 months before the event, or $100 if you did not pay us.

14. Indemnification

You agree to defend, indemnify, and hold QWYK iSoft harmless from claims, losses, liabilities, damages, costs, and expenses arising from your use of the services, your content or data, your products or integrations, your violation of these Terms or product-specific terms, or your violation of law or third-party rights.

15. Governing Law and Disputes

These Terms are governed by Texas law, without regard to conflict-of-law rules. Disputes will be resolved by binding arbitration in Austin, Texas, unless a claim qualifies for small claims court or we seek injunctive relief for misuse, security, confidentiality, or intellectual property issues. You waive the right to a jury trial and class action to the fullest extent permitted by law.

16. Changes

We may update these Terms from time to time. If changes are material, we will notify you by email, through the services, on our website, or by posting the updated Terms. Continued use after the effective date means you accept the updated Terms.
